Terms & Conditions

1. General Provisions

By completing an online registration, payment, or enrollment for any course, mini-residency, educational track, live patient program, or other educational activity offered by KADI Institute (collectively, the "Program"), the participant ("Participant") enters into a binding agreement with KADI Institute ("KADI").

By registering for a Program, the Participant confirms that they have read, understood, and agreed to these Terms & Conditions.

2. Educational Disclaimer

KADI Institute provides continuing education programs that may include concepts, techniques, methodologies, technologies, or philosophies that differ from those taught in traditional university-based, postgraduate, or postdoctoral training programs.

Certain materials, techniques, or opinions presented during a Program may be emerging, experimental, controversial, or subject to differing professional opinions. Participation in a Program does not constitute an endorsement or guarantee by KADI Institute of any particular product, technique, treatment, methodology, or philosophy.

Participants are responsible for evaluating all information using their own professional judgment and for complying with all applicable laws, regulations, licensing requirements, professional standards, and ethical obligations.

KADI Institute does not assume responsibility for clinical decisions, treatments, procedures, or outcomes resulting from the Participant's use or application of information presented during a Program.

3. Program Modifications

KADI Institute reserves the right, when reasonably necessary, to:

• Modify Program content or curriculum.
• Change faculty members, instructors, or speakers.
• Adjust schedules, dates, locations, or delivery formats.
• Limit or modify enrollment capacity.
• Postpone, reschedule, relocate, or cancel a Program.

KADI will make reasonable efforts to communicate material changes to registered Participants whenever practicable.

Except where otherwise required by applicable law, KADI Institute shall not be responsible for travel expenses, accommodation costs, loss of income, or other indirect expenses incurred as a result of a Program modification, postponement, relocation, or cancellation.

4. Payment Terms

Registration is confirmed only after successful receipt and authorization of payment through an accepted payment method.

• Programs may have limited enrollment capacity.
• A Participant's seat is reserved only after the required payment has been successfully processed.
• Once payment is confirmed, the corresponding seat may be removed from general availability.
• KADI Institute may deny or suspend access where required payments remain incomplete, declined, disputed, or overdue.

5. Cancellation, Refund & Rescheduling Policy

5.1 All Sales Are Final

Except where otherwise expressly stated by KADI Institute or required by applicable law, all Program payments are final and non-refundable.

This policy applies to courses, mini-residencies, educational tracks, live patient programs, and other educational Programs offered by KADI Institute.

5.2 Live Patient Programs

Enrollment in a Live Patient Program is final, non-refundable, and non-transferable, except where otherwise required by applicable law.

Due to the clinical, logistical, faculty, facility, patient, equipment, and scheduling commitments associated with these Programs, failure to attend may result in full forfeiture of tuition and fees.

5.3 Course Attendance & Rescheduling

Program registrations are personal to the registered Participant and may not be transferred to another individual without the prior written approval of KADI Institute.

If a Participant is unable to attend a scheduled Program, KADI Institute may, at its sole discretion, allow the Participant to:

• Attend the same or substantially similar Program at a future scheduled date.
• Apply some or all of the amount paid toward another eligible Program.

Any rescheduling or credit is subject to availability, is not guaranteed, is generally limited to one rescheduling, and may require payment of any difference in tuition or fees.

Participants should notify KADI Institute as soon as reasonably possible if they are unable to attend. Failure to provide prior notice may result in loss of any rescheduling or credit option.

5.4 No-Show Policy

Participants who fail to attend a Program without prior notice may be considered no-shows and may forfeit their registration fees and any discretionary right to reschedule.

Late arrival, early departure, or incomplete attendance may also affect eligibility for certificates, continuing education credits, clinical participation, or other Program benefits.

6. Payment Plans

Certain Programs may offer installment plans or other payment arrangements.

• An application fee, deposit, or initial payment may be non-refundable.
• Remaining balances must be paid according to the agreed payment schedule.
• Failure to make scheduled payments may result in suspension or denial of Program access.
• Failure to complete required payments may result in loss of the Participant's reserved seat.

7. Payment Disputes & Chargebacks

Participants are encouraged to contact KADI Institute promptly and in good faith regarding any billing concern, payment issue, or dispute so that the matter can be reviewed and, where possible, resolved directly.

Participants must not knowingly initiate fraudulent, misleading, or abusive payment disputes or chargebacks.

Where permitted by applicable law and payment network rules, KADI Institute reserves the right to provide enrollment records, transaction records, attendance information, acceptance of these Terms, communications, and other relevant documentation in response to a payment dispute or chargeback.

Nothing in these Terms limits any statutory rights or legitimate rights available to a Participant through their card issuer, payment provider, or applicable law.

8. Liability Disclaimer

To the maximum extent permitted by applicable law, KADI Institute, its faculty, instructors, employees, contractors, partners, and affiliates shall not be liable for indirect, incidental, special, or consequential damages arising from participation in a Program.

This includes, without limitation, loss of income, loss of profits, business interruption, travel expenses, accommodation expenses, professional losses, or clinical outcomes resulting from the Participant's application of Program content.

To the maximum extent permitted by law, KADI Institute's aggregate liability arising directly from a particular Program shall not exceed the amount actually paid by the Participant to KADI Institute for that Program.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from fraud, willful misconduct, or other liability that applicable law requires to remain enforceable.

9. Force Majeure

KADI Institute shall not be responsible for delays, changes, postponements, or failures to perform caused by circumstances beyond its reasonable control.

Such circumstances may include, without limitation:

• Natural disasters.
• Pandemics, epidemics, or public health emergencies.
• Government orders or regulatory actions.
• Travel restrictions or transportation disruptions.
• War, terrorism, or civil unrest.
• Severe weather conditions.
• Utility, technology, venue, or infrastructure failures beyond KADI's reasonable control.

In such circumstances, KADI Institute may modify, relocate, postpone, reschedule, or otherwise adapt the affected Program. Except where required by applicable law, such circumstances do not automatically create a right to a cash refund.

10. Data Collection & Privacy

KADI Institute may collect and process personal information reasonably necessary for purposes including:

• Registration and enrollment.
• Payment and transaction administration.
• Program logistics and communications.
• Attendance management.
• Certification and continuing education records.
• Customer service and administrative support.
• Compliance with legal, accounting, and regulatory obligations.

Personal information may be shared with service providers, faculty, venues, educational partners, technology providers, payment providers, or other third parties involved in Program operations only where reasonably necessary.

11. Photography & Media

Photography, video recording, or other media capture may take place during KADI Institute Programs for educational, informational, archival, marketing, or promotional purposes.

To the extent permitted by applicable law, participation in a Program may include incidental appearance in photographs, video recordings, or other media captured in group or event settings.

Where specific consent is legally required for a particular use of a Participant's image, likeness, voice, testimonial, or identifiable personal information, KADI Institute may request separate authorization.

Participants may not photograph, record, reproduce, stream, or distribute Program content, clinical procedures, patients, faculty presentations, or other Participants without prior authorization from KADI Institute and, where applicable, the individuals concerned.

12. Insurance

Unless expressly stated otherwise, Program registration fees do not include insurance.

Participants are strongly encouraged to obtain appropriate insurance coverage for matters such as:

• Travel disruption or cancellation.
• Medical expenses.
• Trip interruption.
• Personal property.
• Professional liability where applicable.

KADI Institute assumes no responsibility for losses that would otherwise have been covered by insurance selected or obtained by the Participant.

13. Attendance & Certification

Certificates, diplomas, continuing education documentation, and continuing education credits, including AGD-related credits where applicable, will only be issued to Participants who satisfy the applicable Program requirements.

Requirements may include:

• Required attendance.
• Completion of educational or clinical activities.
• Completion of evaluations or assessments where applicable.
• Compliance with professional, safety, behavioral, and Program requirements.
• Full payment of applicable tuition and fees.

KADI Institute reserves the right to withhold certificates, credits, or other documentation where Program requirements have not been met.

14. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict-of-law principles.

Subject to any mandatory rights or jurisdictional rules that may apply, any legal dispute arising from these Terms or participation in a Program shall be brought before the competent state or federal courts located in the State of Florida.

15. Severability

If any provision of these Terms & Conditions is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

16. Acceptance

By completing registration or enrollment and, where presented, selecting the acceptance checkbox during checkout, the Participant acknowledges that they have read, understood, and agreed to these Terms & Conditions.
